Merwave Terms of Use and Payment Services
These following terms and conditions apply to individuals who are accessing or using the Wavemakers program both as the merchant (“We” “Merwave” or “Merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.
By accessing or using our Platform and Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must refrain from using our Services.
Merwave Platform Terms of Use
- Introduction
These Terms represent a legal agreement between you ("you") and Merwave Limited ("Merwave", "us", "we"), with registered offices at 246 Park View, Whitley Bay, NE26 3QX governing the use of the Merwave platform ("Platform"), which includes the Merwave website at www.merwave.co.uk ("Site"). Up Promote and any other applications, services, or platforms provided by us (collectively, "Services").
- Changes to the Terms
Merwave reserves the right to update or modify these Terms at any time. When we do, we will notify you by posting the new version on our website or via email. You must accept the revised Terms to continue using our Services.
- Account Registration
To access certain features, you will need to register as a Wavemaker. You agree to provide accurate and complete information and to update it as necessary to maintain its accuracy. Your account is personal and cannot be transferred, sold, or assigned to others.
- Data Protection and Privacy
We value your privacy and will only process your personal data in accordance with our Privacy Policy. By using our Services, you consent to the collection and processing of your personal data as described in our Privacy Policy.
- Use of the Services
You agree to use the Services in accordance with these Terms and applicable law. You must not engage in fraudulent or malicious activities, post inappropriate content, or violate the intellectual property rights of Merwave or any third parties.
You agree not to impersonate Merwave or any of its affiliates, or falsely represent yourself as an official ambassador or employee of the brand. Any actions or statements that mislead the public into believing you are affiliated with or endorsed by Merwave, without proper authorisation, will be considered a breach of this agreement and may result in immediate termination of your participation in the programme and potential legal action.
- Intellectual Property
All intellectual property rights in the Platform and Services are owned by Merwave or its licensors. You are granted a limited, non-transferable, non-exclusive license to use the Services solely for personal, non-commercial purposes.
- Limitation of Liability
Merwave shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Services.
- Termination
Merwave may suspend or terminate your account and access to the Services if you breach these Terms. You may also deactivate your account at any time.
- Approve or Reject of the Registration
We reserve the right to approve or reject ANY Wavemaker Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
- Affiliate Links and Coupon
10.1 An affiliate link is automatically generated upon being accepted to the programme but you can also generate an affiliate link for a specific product or promotion. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
10.2 Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If a customer clicks on both the affiliate link and use the coupon code, you will not receive a double commission.
10.3 Affiliate may also advertise merchant ‘Merwave’ affiliate link online channels such as Facebook, Instagram, Blogs,Tik Tok or YouTube. You agree not to post or distribute affiliate links on online forums, including but not limited to Reddit, unless explicitly authorised by Merwave. Any unauthorised sharing of affiliate links in such forums will be considered a violation of this agreement and may result in the termination of your participation in the programme.
10.4 Commissions - Refer any customer to make a purchase on our website and you will get a commission amount which is calculated based on Merwave’s commission structure. Commission amount is dependent on order value and not including extra fees (e.g tax, shipping cost).
10.5 For an Affiliate to receive a commission, you need to provide PayPal payment details in Settings. Payment schedule will be notified on Affiliate Guide page.
10.6 Payments will only be sent for transactions that have been successfully completed. The Use of the Affiliate Program is subject to a fair use policy which gives the merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in chargebacks or refunds will not be paid out.
- Cookies
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so we can't pay earnings on that person's activity.
You have a cookie tracking time of 30 days. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
- Sending Content for Ads
Once you send any content to us, we have the right to use it indefinitely unless you contact us to stop the content being used as ads.
By sending us content you give permission for us to use your content across our ads, social media, website, blogs and emails.
- Removal from Wavemaker Programme
If an affiliate wishes to be removed from the programme, they can do so by contacting: wavemakers@merwave.co.uk.
- Dispute Resolution
Any disputes arising under this agreement will be governed by English law, and you agree to submit to the exclusive jurisdiction of the courts of England and Wales.
